Terms of Service
Wisps
Version: 1.0
Effective date: 18 October 2026
Last updated: 18 October 2026
A. About These Terms
A.1 Agreement. These Terms of Service (the "Terms") form the agreement between you and the operators of Wisps ("we", "us" or "our") about your access to and use of Wisps, available at https://wisps.fun, together with every page, dashboard, tool, interface, feed, document and communication channel that refers to these Terms (together, the "Platform"). By opening, browsing, connecting to or otherwise using any part of the Platform, you confirm that you have read these Terms and that you accept them. If you do not accept them, please do not use the Platform.
A.2 How to read them. We have written these Terms to be understood without specialist help, and we would encourage you to read them through once. Several sections set out the boundaries of what we are responsible for and what may be recovered from us if something goes wrong. Those sections carry clear headings so that they are easy to find, and they are written as plainly as the subject allows.
A.3 Additional terms. Particular features may come with their own guidance, notices or conditions, which we will show alongside the feature concerned. Those additional terms form part of these Terms while you use that feature. Where they conflict with these Terms, the additional terms govern for that feature only, and these Terms govern everything else.
A.4 Updates. We may revise these Terms from time to time, for example to reflect new features, changes in how the Platform operates or changes in the requirements that apply to us. The revised version takes effect when it is published on the Platform with an updated date at the top. Continuing to use the Platform after that point means you accept the revised version. Where a change is significant and it is reasonably practicable, we will try to draw attention to it, although we are not obliged to.
B. Words We Use
B.1 Defined terms. In these Terms:
- "Analysis" means any score, band, stamp, verdict, label, tag, flag, chart reading, summary, description of market conditions, comparison, match, estimate, ranking, observation, answer or other output that the Platform produces, whether generated by any Wisp, by rules, by statistical methods, by automated language models or by any combination of them.
- "Associated Token" means any digital token that is referenced in connection with the Platform or with us, including any token whose contract address is displayed on the Platform.
- "Network" means any public, permissionless distributed ledger, and any protocol, program or application that operates on one.
- "Profile" means the settings, dashboards, layouts, lists, notes and history that the Platform keeps in connection with a wallet address you have used to sign in.
- "Subject" means any token, contract address, wallet address, account, post, website, project, person or other thing that you or anyone else asks the Platform to look at, or that the Platform displays.
- "Third-Party Service" means any product, service, data source, network, application, wallet software, website, model or content that is provided by someone other than us.
- "Wisp" means any automated component of the Platform that is presented as a Wisp, an agent, a specialist, an assistant or by any similar name, whether it operates alone or in combination with others.
- "Your Content" means anything you enter into, submit through or store on the Platform, including addresses, links, questions, notes, theses, journal entries and feedback.
B.2 Interpretation. Headings are for convenience and do not change the meaning of any provision. Words such as "including", "for example" and "such as" introduce illustrations and never limit the words that come before them. The singular includes the plural and the reverse. A reference to a document or policy is a reference to it as amended from time to time.
C. Who May Use the Platform
C.1 Age and capacity. You may use the Platform only if you have reached the age of majority where you live and you have the legal capacity to enter into a binding agreement.
C.2 Your own position. By using the Platform you confirm, and you continue to confirm each time you use it, that your access to and use of the Platform, and of any Network or Associated Token, is permitted under the laws and requirements that apply to you; that you are not a person with whom dealings are prohibited or restricted under any requirement that applies to you or to us; and that you are not using the Platform from, or on behalf of anyone in, a place where its use would be prohibited or restricted. You are responsible for knowing which requirements apply to you and for following them.
C.3 General availability. The Platform is made available generally. It is not directed at, marketed to or intended for use in any particular place, and making it reachable from a place is not a statement that its use there is lawful or appropriate.
C.4 Technical measures. We may apply technical measures that limit access from certain places, networks, devices or patterns of use. Any such measure is applied at our discretion. It is not a legal determination about you or about any place, and the absence of a measure does not mean that your access is permitted. You must not use any tool or technique to get around such a measure.
D. What the Platform Is, and What It Is Not
D.1 What it is. The Platform is a set of automated research tools. It reads information that is publicly available, or that is made available to us by Third-Party Services, about Subjects such as digital tokens, wallet addresses, social media accounts and websites, and it presents that information together with Analysis in customisable dashboards made up of Wisps. It also offers optional personal tools, such as saved layouts and an automated research assistant.
D.2 What it is not. The Platform is not an exchange, a trading venue, a broker, a wallet, a custodian, a payment service, an investment service, an adviser or a fiduciary of any kind. It does not hold, receive, transmit or control anyone's digital assets, it does not execute or arrange transactions, and it never asks for, stores or has any way to use your private keys or recovery phrases.
D.3 Analysis is automated and may be wrong. We put real care into how the Platform reads data and into the methods behind its Analysis. Even so, every Analysis is produced automatically from data that may be incomplete, delayed, misattributed or incorrect, and by methods that cannot capture every circumstance. An Analysis is a machine-generated observation about patterns in data. It is not a statement of fact about any person, it is not an accusation, and it is not a finding that anyone has behaved wrongly or lawfully. A label suggesting, for example, that wallets are linked, that an account's writing has changed, or that a website lacks evidence for a claim, may be mistaken. You should read the underlying evidence, form your own view and verify anything that matters to you through independent sources.
D.4 Wisps are automated software. We design each Wisp with care for the task it is given, and we work on how Wisps combine their findings. Wisps remain software. Calling them agents, specialists, assistants or anything similar is a way of describing what they do; it does not mean that a person is involved, that professional judgment is exercised, or that any Wisp acts for you, for us or for anyone else in a legal sense. Output from a Wisp generally reaches you without review by a person. As with other automated systems, a Wisp may misread data, draw conclusions that do not follow, combine information incorrectly, or state things that are untrue, including figures, quotations, sources or attributions that do not exist, and it may do so in confident language.
D.5 Labels, bands and scores. To keep dashboards readable, the Platform summarises patterns with short words, colours and numbers, such as labels applied to wallets, accounts and websites, red and green flags, and scores or bands that may be described in terms of safety, risk or quality. Each of these is shorthand for a pattern detected in data by an automated method. None of them carries its ordinary meaning as a statement about the identity, conduct, intentions, honesty or character of any person, and none is a determination that a Subject is safe, unsafe, genuine, fraudulent, suitable or unsuitable. A favourable score, or the absence of flags, means only that the methods applied did not detect certain patterns at the time, and an unfavourable one means only that they did.
D.6 Information only. Everything on the Platform is provided for general information and research. Market figures, charts, holder data, social data and similar information may be inaccurate, delayed or unavailable, and may differ from what other sources show.
D.7 Usage limits. Some features are subject to limits on how often they may be used, which may differ depending on whether you are signed in. We may set, vary, suspend or remove those limits at any time. Opening Analysis that already exists may be treated differently from requesting new Analysis.
D.8 The scope may change. The features, data sources, methods and presentation of the Platform will change over time. Nothing in these Terms commits us to keep any particular feature, data source or method.
E. Wallet Sign-In, Profiles and Security
E.1 How sign-in works. Certain features are available only after you sign in by connecting third-party wallet software and approving a message that proves you control a wallet address. Approving that message is not a transaction and does not authorise any transfer. We will never ask you to sign a transaction in order to sign in, and you should treat any request that appears to do so, on the Platform or elsewhere, as suspicious.
E.2 Your Profile. When you sign in, the Platform keeps a Profile associated with your wallet address so that your dashboards, lists and notes are available to you again. Anyone who controls that wallet address can sign in and see that Profile.
E.3 Your responsibility for security. You are solely responsible for your devices, your wallet software, your private keys, your recovery phrases and every action taken through them. Keys and recovery phrases cannot be recovered by us or, in most cases, by anyone. If you lose control of them, access to your Profile and to any assets associated with your wallet may be lost permanently. Please tell us promptly if you believe your Profile has been accessed without your permission, recognising that we may not be able to do anything about it.
E.4 Read-only use of your address. Some personal features read public Network records associated with the wallet address you sign in with, for example to show a balance or to summarise recent activity. Those features only read information that is already public. They do not move, freeze, approve or otherwise affect anything.
E.5 Suspension. We may suspend, limit, reset or end access to the Platform or to any Profile where we consider it appropriate, including where we have concerns about security, misuse, integrity or compliance with these Terms, and including on a precautionary basis while we look into a matter.
F. Services Provided by Others
F.1 We rely on others. The Platform depends on, links to and displays information from Third-Party Services, including wallet software, Networks, market data providers, social platforms, website hosts, search providers and providers of automated language models. We may add, change or remove any of them at any time.
F.2 No control and no endorsement. We do not own, operate or control Third-Party Services. We do not verify, endorse or take responsibility for them, for their availability, for their security or for the accuracy of anything they provide, and their appearance on the Platform is not a recommendation. Your use of any Third-Party Service is subject to its own terms and is at your own election and risk.
F.3 Links and Subjects. The Platform displays links to, and information about, websites, accounts, tokens and projects operated by third parties. Some of them may be harmful, deceptive or designed to take your assets. Being shown on the Platform, including with a favourable Analysis, is not a sign that a Subject is safe, genuine or appropriate for you. Please check every link and address yourself before interacting with it, and never enter a recovery phrase or private key into any website.
F.4 Content created by others. To give useful context about each Subject, the Platform shows material created by third parties much as they publish it, often automatically and as it happens, including token names, images, descriptions, social media posts and website content. That material is not created, reviewed or approved by us before it appears. It may be inaccurate, offensive, misleading or infringing, it reflects only the views of whoever created it, and showing it does not mean that we share, endorse or have verified it.
G. Using the Platform Properly
G.1 Things you must not do. You agree not to use the Platform, or attempt to use it, to do any of the following, and you agree not to help anyone else do so:
(a) break any law or requirement that applies to you, or infringe anyone's rights;
(b) probe, scan, test or breach the security of the Platform or of any related system, or interfere with its normal operation;
(c) get around any security, authentication, usage limit, access restriction or similar measure, including by using multiple identities, addresses or connections to obtain more use than is allowed;
(d) collect, copy, scrape or harvest content or data from the Platform by automated means, or resell, sublicense or commercially redistribute it, without our written permission;
(e) present any Analysis as a verified fact about a person, use it to harass, threaten, defame or target anyone, or remove the context that shows it is automated;
(f) impersonate us or anyone else, or misrepresent any connection with us;
(g) submit content that is unlawful, harmful, deceptive, infringing or abusive, or that contains malicious code;
(h) use the Platform to plan, promote or carry out any scheme that deceives or harms other people, including manipulating markets or perceptions;
(i) reverse engineer or attempt to extract the source code, models or methods behind the Platform, except where the law expressly allows this despite this restriction; or
(j) place an unreasonable load on the Platform or on any Third-Party Service through it.
G.2 Similar conduct. The list above is not complete. We may also act on conduct of a similar character, or conduct that we reasonably believe threatens the Platform, its users or anyone else.
G.3 Our rights. We may investigate suspected breaches, preserve records, cooperate with appropriate authorities and take any action we consider appropriate, including removing content, limiting features or ending access. We are not obliged to monitor the Platform or the conduct of its users, and choosing not to act in one case does not prevent us from acting in another.
H. What You Submit
H.1 You keep ownership. As between you and us, you keep whatever rights you have in Your Content.
H.2 Permission to operate. You give us a worldwide, non-exclusive, royalty-free, transferable and sublicensable permission to host, store, copy, process, analyse, adapt, display and otherwise use Your Content for the purposes of operating, maintaining, securing, improving and developing the Platform. This includes processing it with automated tools and passing it to Third-Party Services, such as language model providers, where that is needed to deliver a feature you have asked for. The permission continues for as long as Your Content is held by us, and copies may remain in backups and logs for a period after deletion.
H.3 Shared results. When you ask the Platform to look at a Subject, the resulting Analysis may be stored and shown to other users, for example in lists of recent results. The Analysis itself is not Your Content, but we do not display your wallet address alongside it.
H.4 Your responsibility. You confirm that you have the right to submit Your Content and that it does not breach these Terms or anyone's rights. Personal notes you keep are your own responsibility.
H.5 Moderation is a right. We may review, refuse, edit, hide or remove any content, and any Analysis about any Subject, at our discretion, but we are not obliged to. If you believe that something on the Platform about you is wrong, you may contact us using the details in Section W and we will consider it.
H.6 Automated assistant output. Answers from the research assistant are produced by Wisps in the way described in Section D.4. They may draw on third-party sources, and they may be incomplete, outdated or incorrect even when they sound confident. They are subject to Section N in full, however the question was phrased.
H.7 Feedback. If you send us suggestions or ideas, we may use them freely and without any obligation to you.
I. Ownership of the Platform
The Platform, including its design, software, illustrations, text, compilations of data, methods and branding, belongs to us or to the people who licence it to us, and is protected by the laws that apply to intellectual property. Provided you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable and revocable permission to use the Platform for its intended purposes. All rights not expressly granted are reserved, and nothing in these Terms transfers ownership of anything to you.
J. Statements About the Future
J.1 Aspirations are not promises. We may from time to time describe plans, ideas, directions, features under consideration, timelines or hopes, on the Platform, in announcements, on social media, in group chats or anywhere else. Anything of that kind that is not a statement of present fact is forward-looking. It reflects a view held at the time it was expressed, it may change or be abandoned without notice, and it is not a commitment, an offer or a guarantee. It does not form part of these Terms, and you should not rely on it.
J.2 Others speak for themselves. Statements made by community members, moderators, supporters, commentators, holders of any Associated Token or anyone else who is not authorised to speak for us are their own. We are not responsible for them, and they do not bind us.
K. The Associated Token
This section applies wherever an Associated Token is referenced in connection with the Platform. It is included so that the position is clear from the start.
K.1 What it is. The Associated Token is a freely transferable digital collectible that exists on a Network we do not own, operate or control. We do not offer it as, and it should not be acquired, held or understood as, an investment, a security, a share, a unit, a bond, a note, a deposit, a loan, a derivative, a collective or managed product, a currency, a means of payment, a store of value, or an interest of any kind in us, in the Platform or in any asset, revenue, undertaking or entity.
K.2 No rights attached. Holding the Associated Token gives no ownership, equity, control, vote, distribution, dividend, redemption, repayment, priority, claim on any revenue or asset, entitlement to any feature or service, or claim of any other kind against us or anyone else. It creates no relationship with us beyond these Terms, and it does not make us your agent, trustee, fiduciary, adviser, counterparty or partner.
K.3 Descriptions are indicative. Where any use, feature, recognition or integration is mentioned in connection with the Associated Token, the description is indicative and forward-looking and is subject in full to Section J. We do not undertake to develop, deliver, maintain or continue any such use, and anything that exists may be changed or withdrawn.
K.4 Independent markets and independent participants. Any market, pool, price, quotation, listing, ranking or trading activity involving the Associated Token arises from the independent conduct of independent participants on Networks. We do not operate, direct, coordinate, support, underwrite, stabilise, maintain or guarantee any of it, and we do not take responsibility for it.
Any person may, without our knowledge, permission or ability to stop it, acquire, accumulate, hold, sell, promote, criticise, imitate, misrepresent or otherwise deal with the Associated Token, or act in ways that affect how it is perceived or traded. That conduct may be automated, coordinated, opportunistic, mistaken, reckless, deceptive or hostile, and it may be aimed at the Associated Token, at the Platform, at us or at other participants. Its consequences, which can be sudden, severe and irreversible, are outside our control and are not attributable to us. We do not undertake to monitor, identify, counteract, remedy, compensate for or comment on any such conduct.
We do not control who holds the Associated Token, how much they hold, why they hold it or what they do next, and no conclusion about us, our conduct or our intentions should be drawn from the conduct of any other holder.
K.5 Movement in value. The Associated Token may move in price quickly, sharply and without warning, may become difficult or impossible to sell, and may stop trading altogether. How it has moved before says nothing about how it will move. No level, range, floor, direction or outcome is suggested, implied, targeted or promised by us or by anyone on our behalf, at any time.
K.6 The decision is yours. Any decision to acquire, hold or dispose of the Associated Token is yours alone, made on your own assessment and at your own risk. It should not be made in expectation of gain, in reliance on anything we have said, in reliance on the efforts of any person, or in reliance on the Platform continuing to exist. Please take your own advice and act only to the extent you consider right for your circumstances.
L. Allocations Associated With the Project
We think it fair to describe, in general terms, our approach to any portion of the Associated Token that is associated with the development or operation of the Platform.
Any such portion may be held subject to restrictions on transfer or disposal. Where restrictions are applied, their nature, scope, method and duration are set at our discretion, may be implemented by any means we consider appropriate, and may be varied, extended, shortened, released or replaced in response to operational, technical, market, legal or other circumstances. The presence or absence of a restriction at any moment should not be relied on.
Where any such portion is not restricted, or stops being restricted, it may be held or disposed of. Our intention is that any disposals are carried out in a measured way, in balanced intervals, with reasonable regard to prevailing conditions and to the wider community, and consistently with good-faith stewardship of the Platform. Proceeds may be applied to development, maintenance, infrastructure, operations, personnel, security, community purposes and other purposes connected with the Platform or with our activities generally.
This section describes our general approach and present intention. It is subject in full to Section J. It is not a commitment, schedule, limit or guarantee as to timing, quantity, method, proportion, use of proceeds or continuation, it may change, and it creates no right, entitlement or expectation for anyone. Nothing in it is intended to encourage any decision to acquire, hold or dispose of anything.
M. Risk, Technology and Your Acceptance of It
M.1 The nature of what the Platform looks at. The Subjects the Platform examines include some of the most volatile and least regulated activity there is. Digital tokens can lose most or all of their value in moments. Projects can be abandoned, misrepresented or designed to deceive. Accounts can be compromised. Websites can be built to steal assets.
M.2 Networks. Networks are operated independently of us. They can slow down, halt, split, change their rules, behave unexpectedly or suffer attacks. Records on them are generally permanent and transactions on them are generally irreversible.
M.3 Software. The Platform, the Third-Party Services it relies on, and the software you use to reach it may contain errors, vulnerabilities or limitations, and may fail in ways that are hard to predict.
M.4 Hostile actors. People acting in bad faith may copy the Platform's appearance, imitate us or our community, send misleading messages or links, or try to exploit you or the Platform. We cannot prevent all of this and are not responsible for it.
M.5 Changing rules. The legal and regulatory treatment of digital assets and of tools like the Platform is uncertain and changing, and future changes could affect the Platform, your use of it or the value of anything you hold.
M.6 Your acceptance. You understand these risks, and others that may not be listed or foreseeable. You accept them as your own, and you agree that you use the Platform, and make any decision connected with anything shown on it, at your own risk.
N. No Advice of Any Kind
The Platform is built to make your own research quicker and better informed. It is not built to tell you what to do. Nothing on or from the Platform, including any Analysis, output of any Wisp, score, band, label, chart reading, description of market conditions, sizing tool, journal prompt or assistant answer, is financial, investment, trading, legal, tax, accounting or other professional advice, or a recommendation to buy, sell, hold or do anything. This applies however a question put to the Platform is phrased and however any output is worded, including where an output appears to favour, rank, endorse or caution against any Subject or course of action. The Platform does not consider your personal circumstances, objectives or tolerance for risk, and it makes no assessment of whether anything is suitable for you. Tools that help you think about position size, plans or habits are general aids to your own thinking and carry no assurance of any result. You are responsible for your own decisions, for seeking professional advice where you need it, and for meeting any reporting, tax or other obligations that apply to you.
O. Changes, Interruptions and Discontinuation
O.1 Availability. We work to keep the Platform running well and we put sensible effort into it. We cannot promise that it will be available, uninterrupted, timely or free of errors. Access may be slowed, interrupted, degraded or suspended for maintenance, updates, security, capacity, failures of Third-Party Services or Networks, legal reasons, or reasons outside our control.
O.2 Our freedom to change it. At any time, at our discretion, and without obligation or liability to you, we may:
(a) modify, restructure, reduce or expand the Platform or any part of it;
(b) add, alter, condition, limit, withdraw or discontinue any feature, data source, method or integration;
(c) set, vary or remove usage limits, or reset Profiles, layouts or stored results; and
(d) stop providing the Platform entirely and permanently, with or without notice.
O.3 Notice. Where a significant change is planned and it is reasonably practicable to do so, we will try to give notice, but we are not obliged to and circumstances may not allow it.
P. Information and Privacy
P.1 What we process. We process information to the extent needed to operate, secure, improve and develop the Platform. This may include wallet addresses used to sign in, your Profile, Your Content, preferences kept in your browser's storage such as dashboard layouts, technical information about your device and connection, and records of how features are used. Where we keep network identifiers for limiting misuse, we aim to keep them in a form that does not directly reveal them.
P.2 Retention. We keep information for as long as we consider it necessary for those purposes, or for as long as we are required to. Copies may remain in backups, logs and archives for a period after deletion from active systems.
P.3 Processing by others and in other places. Information may be processed by Third-Party Services that help us run the Platform, and may be processed in places other than where you are.
P.4 Public records. Information recorded on a Network is public and permanent and is not controlled by us or by anyone else. The Platform reads and displays such information, and nothing we do can change or remove it.
P.5 Further detail. Further detail about how we handle personal information may be set out in any privacy notice that we publish on the Platform from time to time.
Q. Disclaimers
Q.1 Our effort, and its limits. We build and look after the Platform with genuine care, using practices we consider suitable for a tool of its kind, and we try to make its Analysis useful and its data accurate. That effort is real. It is also not a guarantee, and the rest of this section explains where it stops.
Q.2 As is and as available. To the fullest extent permitted by applicable law, the Platform, every Analysis and everything else provided through the Platform are provided "as is" and "as available", with all faults, and without any warranty, condition, representation or guarantee of any kind, whether express, implied or statutory.
Q.3 Implied terms. Without limiting Section Q.2, we disclaim all implied warranties and conditions, including those of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement and accuracy, and any warranty arising from a course of dealing, performance or trade usage.
Q.4 Specific matters. We do not warrant that: the Platform will meet your needs or expectations; it will be available, secure, timely or error-free; any Analysis, data or assistant answer will be accurate, complete, current or reliable; any label applied to any Subject is correct; any defect will be corrected; the Platform or anything reached through it is free of harmful components; or any Third-Party Service, Network or Associated Token will function, keep its value or continue to exist.
Q.5 Rights that remain. Some places do not allow certain warranties or implied terms to be excluded. Where that applies, the exclusions above apply only as far as permitted, and you may have rights that these Terms do not affect. Nothing in these Terms excludes or limits any liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
R. Limits on Our Responsibility
R.1 Types of loss. To the fullest extent permitted by applicable law, neither we nor our affiliates, officers, contributors, contractors, service providers or licensors will be liable to you for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profits, revenue, trading gains, opportunity, goodwill, data or digital assets, however it arises and whether or not it was foreseeable.
R.2 Causes outside the Platform. Without limiting Section R.1, we are not liable for loss arising from: any decision you make or do not make in connection with anything shown on the Platform; any Analysis, output of any Wisp, assistant answer or data, or any error, delay or omission in them; any act or omission of any third party, including independent participants in any market, operators of Networks, providers of Third-Party Services, issuers of tokens, operators of websites and accounts examined by the Platform, and malicious actors; the conduct of any holder of the Associated Token; the loss, theft or compromise of your devices, wallet software, keys or recovery phrases; any interruption, suspension or discontinuation of the Platform; or any event described in Section T.
R.3 Overall cap. To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or the Platform, whatever the cause and under any theory, is limited to {LIABILITY_FLOOR_AMOUNT}.
R.4 Effect. These limits apply even if a remedy fails of its essential purpose, and they reflect a reasonable allocation of risk given that the Platform is made available without charge for its core features.
R.5 Rights that remain. Some places do not allow certain limitations of liability. Where that applies, the limits above apply as far as permitted and the rest is unaffected. Nothing in this section limits any liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence.
S. Your Responsibility to Us
S.1 Indemnity. To the extent permitted by applicable law, you will defend, indemnify and hold harmless us and our affiliates, officers, contributors, contractors and service providers against any claim, demand, liability, loss, damage, cost or expense, including reasonable legal fees, that arises out of or relates to your use of the Platform, Your Content, your breach of these Terms, your breach of any law or of anyone's rights, or any use you make of any Analysis, including presenting it as fact about any person.
S.2 Conduct of claims. We may take over the defence and control of any matter covered by Section S.1 at your expense, and you will cooperate with us. You will not settle any such matter without our prior written consent.
T. Events Beyond Control
We will not be responsible for any failure or delay in performing anything under these Terms that is caused by events beyond our reasonable control. Those events include natural disasters, pandemics, fire, flood, war, terrorism, civil unrest, government action, changes in law, labour disputes, failures or attacks affecting power, telecommunications, hosting, data providers or other infrastructure, failures, forks, congestion, rule changes or attacks affecting any Network, the conduct of malicious actors, and the failure of any Third-Party Service.
U. Ending Your Use
U.1 Either of us may end it. You may stop using the Platform at any time. We may suspend or end your access, or any part of it, at any time and for any reason, including without notice.
U.2 What happens next. When access ends, your permission to use the Platform ends with it. We may delete or keep your Profile and Your Content in line with Section P, and we are not obliged to provide copies. Analysis already produced may remain on the Platform.
U.3 Survival. Sections B, D.3 to D.6, F, H.2 to H.7, I, J, K, L, M, N, P, Q, R, S, T, this Section U and Section V continue after your use of the Platform ends, together with any other provision that by its nature is intended to continue.
V. Resolving Disagreements and Other Legal Matters
V.1 Talk to us first. If you have a concern or a dispute about the Platform or these Terms, please contact us first using the details in Section W. We will try in good faith to resolve it informally. Neither of us will start formal proceedings until {INFORMAL_RESOLUTION_PERIOD} has passed since the concern was raised, except where urgent protective relief is needed.
V.2 Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Platform, are governed by the laws of {GOVERNING_JURISDICTION}, without regard to conflict of laws principles.
V.3 Forum. Any dispute that is not resolved informally will be resolved through {DISPUTE_RESOLUTION_MECHANISM}.
V.4 Individual basis. To the extent permitted by applicable law, disputes will be resolved on an individual basis only, and not as a claimant or member in any class, collective, consolidated or representative proceeding.
V.5 Time for claims. To the extent permitted by applicable law, any claim arising out of or in connection with these Terms or the Platform must be started within {CLAIM_LIMITATION_PERIOD} after the events giving rise to it, after which it is permanently barred.
V.6 Severability. If any part of these Terms is found invalid or unenforceable, that part will be applied to the greatest extent possible or, if that is not possible, treated as removed, and the remainder will continue in full effect.
V.7 No waiver. If we do not enforce a right or provision, or delay in doing so, that is not a waiver of it.
V.8 Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, including as part of a reorganisation, merger or sale.
V.9 Entire agreement and non-reliance. These Terms, together with any additional terms referred to in Section A.3, are the entire agreement between you and us about the Platform and replace any earlier understanding. In accepting them, you confirm that you have not relied on any statement, representation, assurance, promise or prediction that is not set out in these Terms, whether made by us or by anyone else, in writing or orally, on the Platform, on social media, in group chats, in private messages or in any other place, and you agree that you will have no remedy for any such statement except as expressly set out in these Terms.
